Proposed Bylaw Amendments
At the PCBFA Board of Directors meetings on January 14th, 2021 and February 20th, 2021, the directors moved to put forward the following bylaw amendments to the membership for vote at the Annual General Meeting.
Dan Martin moved that article 5.1.2 of the PCBFA Bylaws be amended to read in its entirety ‘Directors shall be paid mileage at a rate that matches the current provincial government rate’. Michael Strebchuk seconded. All in favour. Carried.
This purpose of this amendment is to remove the requirement of paying per diems to directors. This is necessary in order to be approved for charitable status with the CRA – directors cannot be paid for their time; they must be volunteers. Reimbursement of expenses (mileage) is still acceptable.
Michael Strebchuk moved to amend the bylaws of the Peace Country Beef & Forage Association, to add the following article:
188.8.131.52 The Annual General Meeting may, at the discretion of the Board of Directors, be held by means of a teleconference communication system or a video conference communication system, or any other similar electronic communication facility, that permits all members participating in such meeting to hear each other during the meeting. An individual member, who, through such communication system attends a meeting, shall be deemed to be personally present at that meeting.
Clay Armstrong seconded. All in favour. Carried.
Faron Steffen moved to amend article 4.4.2 of the bylaws of the Peace Country Beef & Forage Association, to read as follows:
4.4.2 Voting is done by ballot at the Annual General Meeting. In the event that the Annual General Meeting is held by means of a teleconference communication system, a video conference communication system, or any other similar electronic communication facility, voting will be done using a polling feature within an electronic communication facility, or verbally.
Kelvin Krahn seconded. All in favour. Carried.
The purpose of the above amendments is to allow the flexibility to hold future Annual General Meetings virtually or by teleconference, if needed.
